Es un acto basado en una relación de voluntad y confianza mutua entre el Fideicomitente y el Fiduciario, donde el Fiduciario administra fielmente los bienes transferidos por los Fideicomitentes, en estricto apego a sus instrucciones y en favor de los Fideicomisarios o Beneficiarios. Según la Ley 189-11 se define como sigue: "Es el acto mediante el cual una o varias personas, llamadas fideicomitentes, transfieren derechos de propiedad u otros derechos reales o personales, a una o varias personas jurídicas, llamados fiduciarios, para la constitución de un patrimonio separado, llamado patrimonio fideicomitido, cuya administración o disposición será ejercida por el o los fiduciarios según las instrucciones del o de los fideicomitentes, en favor de una o varias personas, llamadas fideicomsarios o beneficiarios, con la obligación de restituirlos a la extinción del fideicomiso, a la persona designada en el referido acto o de conformidad con la Ley."

  • Fiduciario
    • Es la persona jurídica autorizada por la presente ley para fungir como tal, que recibe los bienes dados o derechos cedidos en fideicomiso para cumplir con ellos las instrucciones del o de los fideicomitentes. APAP estará ofreciendo a sus clientes los servicios de fiduciarios.
  • Fiduciaria
    • Es la entidad que recibe los bienes o derechos del Fideicomitente para la constitución del patrimonio separado y su administración.
  • Fideicomitente
    • Es la persona física o jurídica que transfiere derechos de propiedad u otros derechos reales o personales al o a los fiduciarios, para la constitución de uno o varios fideicomisos. En otras palabras, el fideicomitente es el cliente de APAP que desea crear un fideicomiso.
  • Fideicomiso
    • Es un patrimonio separado administrado por la Fiduciaria según las instrucciones del fideicomitente a favor de una o varias personas llamadas fideicomisarios o beneficiarios. El fideicomiso está basado en una relación de voluntad y confianza mutua entre el fideicomitente y el fiduciario, mediante la cual este último administra fielmente los bienes fideicomitidos, en estricto apego a las instrucciones y a los requerimientos formulados por el fideicomitente en el acto constitutivo que da origen al mismo.
  • Fideicomisario
    • Persona Física o Jurídica a favor de quien el o los fiduciarios administran los bienes aportados en fideicomiso. El Beneficiario es quien recibe los beneficios del Fideicomiso durante su vigencia. El Fideicomisario, que a su vez puede ser Beneficiario recibe el resultado una vez liquidado el Fideicomiso.
  • Patrimonio Fideicomitido
    • Está constituido por los bienes y derechos transferidos a favor del fideicomiso y los frutos generados por el mismo.

Fideicomiso de Preventas

En algunos esquemas se contrata la fiduciaria únicamente para la administración de los recursos de las cuotas de las preventas inmobiliarias de modo tal que el objeto del contrato de este tipo de negocios se limita a recibir los recursos de los futuros compradores en una cuenta especial para el proyecto, y entregarlos al constructor una vez se cumplan los requisitos técnicos, jurídicos y financieros establecidos en el acto del fideicomiso en el término fijado en el mismo.

Solo en este caso la Fiduciaria entrega los recursos al constructor; de lo contrario los devuelve a cada comprador junto con sus rendimientos.
